PT Pelindo Terminal Petikemas Sub-holding (SPTP) has just taken over all shares of PT Wijaya Karya (Persero) Tbk WIKA and PT Hutama Karya (Persero) HK at PT Prima Terminal Petikemas, the operator of Belawan New Container Terminal (BNCT), North Sumatra.
WIKA and HK previously owned each 15% share at Prima Terminal Petikemas, while 70% were by SPTP. SPTP became the sole shareholder with 100 percent share ownership with the takeover.
The takeover was officially done after the top executives of the parties signed the deed of sale and purchase of the transfer of rights to the shares of PT Prima Terminal Petikemas in Jakarta on Tuesday, July 26, 2022.
President Director of SPTP M. Adji, President Director of PT Hutama Karya (Persero) Budi Harto, and Acting President Director of PT Wijaya Karya (Persero) Tbk Operation Region 1 Hananto Aji signed the document.
SPTP Corporate Secretary Widyaswendra said the takeover remained a mutual commitment of all parties in a bid to take focus on their owned core business. As a terminal operator, SPTP has the competence to develop container terminals in the Sumatra region. Having full ownership, SPTP is expected to be more generous in running the corporation, thus providing more benefits for logistics development, especially container terminal services.
“The total transaction value for this share acquisition reached IDR 375.9 billion, totaling 15% percent shares of PT Wijaya Karya (Persero) Tbk and 15% PT Hutama Karya (Persero),” explained Widyaswendra.
In his speech, President Director of PT Hutama Karya (Persero) Budi Harto said the company would focus on providing reliable infrastructure in various sectors, including ports. But, HK is open to cooperating in developing port infrastructure throughout all Pelindo ports.
“This (share takeover) does not mean that we (PT Wijaya Karya and PT Hutama Karya) stop cooperation with Pelindo. Surely, we will continue to support Pelindo in providing good port infrastructure,” he said.
Echoing the statement, Hananto Aji said that the company’s involvement in PT Prima Terminal Petikemas was previously a form of collaboration by BUMN (state-owned companies). Currently, as the business process BNCT has been running well, WIKA decided to hand over the share to Pelindo.
Established in 2013, PT Prima Terminal Petikemas is a subsidiary of Pelindo Group. Pelindo owned the majority shareholder, reaching 70 percent, while WIKA and HK owned 15%, respectively.
On January 3, 2022, PT Pelabuhan Indonesia (Persero) transferred its share ownership in PT Prima Terminal Petikemas to the PT Pelindo Terminal Petikemas Sub-holding (SPTP). And after this takeover, SPTP became the sole shareholder with 100 percent share ownership.
